1. Agreement

These Terms of Service (“Terms”) govern access to and use of the MCAS websites, dashboards, APIs, and related applications operated at mcasui.com and associated subdomains (collectively, the “Services”), including developer applications that connect third-party platforms (for example TikTok Login Kit and Content Posting API) for content publishing and research.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Who we are

MCAS (“we”, “us”) provides software for market research tooling and an operator-run multi-rail content factory (YouTube, TikTok, X distribution and related automation). Contact: darren.kenny7@gmail.com.

3. Eligibility and accounts

• You must be able to form a binding contract in your jurisdiction.
• You are responsible for credentials, API keys, and OAuth tokens used with the Services.
• Do not share secrets or allow unauthorized use of your account or developer apps.

4. Acceptable use

You agree not to:

• Violate applicable law, platform terms (including TikTok, YouTube, X/Twitter), or third-party IP rights.
• Upload or automate content you do not have rights to publish.
• Abuse rate limits, attempt unauthorized access, or disrupt the Services or third-party APIs.
• Use the Services to spam, harass, or distribute malware or deceptive content.
• Misrepresent affiliation with MCAS or third-party platforms.

5. Third-party platforms

Features that post or read data on TikTok, YouTube, X, or other networks require your authorization and remain subject to those platforms’ terms and policies. We do not control those platforms. Revoking OAuth access may disable related features.

6. Content

You retain rights in content you submit or publish through the Services. You grant us a limited license to process, store, and transmit that content solely to operate the Services you enable (including rendering, scheduling, and API posting).

7. Intellectual property

The Services, branding, and software (excluding your content and third-party materials) are owned by MCAS or its licensors. No license is granted except as needed to use the Services.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted availability, ranking, monetization, or outcomes of automated content systems.

Market or trading-related features, if any, are informational tools only and not investment advice.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MCAS AND ITS OPERATORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICES IN THE 3 MONTHS BEFORE THE CLAIM OR (B) USD $50.

10. Indemnity

You will defend and indemnify MCAS against claims arising from your content, your use of third-party APIs, or your breach of these Terms.

11. Termination

We may suspend or terminate access for violation of these Terms or to protect the Services or third parties. You may stop using the Services at any time and revoke third-party app access in the relevant platform’s settings.

12. Changes

We may update these Terms by posting a revised version at this URL with an updated effective date. Continued use after changes constitutes acceptance.

13. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules, unless mandatory consumer protections in your country of residence require otherwise. Courts of England and Wales have exclusive jurisdiction, subject to those mandatory rights.
